Terms of Service

Welcome to videocrud.com (the "Site"), operated by Vague Media, LLC located at 1111B S Governors Ave STE 40302 Dover, DE, 19904 ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Site and any content, features, or services offered through it (collectively, the "Service").

By accessing the Site, creating an account, or subscribing, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to subscribe. By using the Service, you represent that you meet this requirement and that all information you provide is accurate.

2. The Service

Videocrud.com is a subscription platform for curated video art. An active subscription gives you a limited license to stream all published content on the Service for as long as your subscription remains active. Seasons are curated groupings of works, not separately purchasable products.

Subscriptions are offered in tiers (currently a basic tier and a premium tier with additional features such as higher-resolution playback); current pricing and tier features are shown on the subscribe page. We may offer complimentary access to contributing artists and curators at our discretion.

We reserve the right to modify, suspend, or discontinue any season, work, tier, or the Service at any time, with or without notice. We may change subscription pricing with at least 30 days' advance notice; price changes take effect at your next billing cycle after the notice period.

3. Accounts

You may need to create an account to subscribe. You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account. Notify us immediately at info@videocrud.com if you suspect unauthorized use.

We may suspend or terminate accounts that violate these Terms or that we reasonably believe are engaged in fraudulent or harmful activity.

4. Subscriptions and Billing

All prices are listed in US Dollars (USD) and include applicable taxes. Payments are processed by Stripe; we do not store your full payment card details.

By subscribing, you authorize us (and our processor) to charge the subscription fee to your chosen payment method on a recurring monthly basis until you cancel. You are responsible for any additional fees charged by your bank or card issuer.

Cancellation. You can cancel at any time from your account page. Cancellation takes effect at the end of your current billing period; you keep access until then. We do not provide partial-period refunds (see Section 6).

Failed payments. If a renewal payment fails, we will retry it for a limited period during which your access continues. If payment cannot be collected, your subscription will be canceled.

5. License to Access Seasons

Subject to an active subscription (or other access we grant) and ongoing compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to stream content available through the Service for your own personal, non-commercial viewing while your access remains active.

You may not:

• Download, copy, record, screen-capture, or otherwise reproduce any season content, except as expressly permitted by the Service;
• Redistribute, broadcast, publicly perform, or make the content available to third parties;
• Share your account credentials or access link with anyone else;
• Use the content for any commercial purpose, including training AI or machine learning systems;
• Remove or alter any copyright, credit, or attribution information;
• Circumvent any technical protection measures.

All intellectual property rights in the works and seasons, including copyright, remain with the respective artists and/or Vague Media, LLC. Works contributed by artists are governed by separate agreements between the artist and Vague Media, LLC. Nothing in these Terms transfers ownership to you.

6. Refunds

Because the Service provides immediate access to digital content, subscription fees are non-refundable, including for partial billing periods after cancellation, except where required by applicable law. Canceling stops future charges; it does not refund the current period.

For consumers in the European Union, United Kingdom, and other jurisdictions with statutory withdrawal rights: By subscribing, you expressly request immediate performance of the Service and acknowledge that you thereby waive your right of withdrawal once streaming has begun, as permitted under applicable consumer protection law.

If you believe a charge was made in error, or if the Service was materially defective, contact us at info@videocrud.com within 14 days of the charge and we will review the request in good faith.

7. Acceptable Use

You agree not to:

• Use the Service in violation of any law or regulation;
• Attempt to gain unauthorized access to the Site, other accounts, or our systems;
• Introduce viruses, malware, or other harmful code;
• Use bots, scrapers, or automated means to access the Service;
• Harass, threaten, or abuse other users, artists, or staff;
• Use the Service in a way that could damage, disable, or impair it.

8. User-Submitted Content

If the Service allows you to submit comments, reviews, or other content, you grant us a worldwide, royalty-free, non-exclusive license to use, display, and distribute that content in connection with the Service. You represent that you own or have the rights to any content you submit and that it does not infringe any third-party rights.

We may remove user content at our discretion.

9. Copyright and DMCA

We respect intellectual property rights. If you believe content on the Site infringes your copyright, send a notice to our designated agent containing the information required under 17 U.S.C. § 512(c)(3):

We will respond to valid notices in accordance with the Digital Millennium Copyright Act.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that seasons will be available at all times, that streaming will be free of interruption, or that the Site will be secure or free of malicious code.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Vague Media, LLC, ITS OWNERS, EMPLOYEES, OR CONTRIBUTING ARTISTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Vague Media, LLC and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms or misuse of the Service.

13. Termination

We may suspend or terminate your access to the Service at any time for any reason, including breach of these Terms. Upon termination, your license to stream content ends immediately. Sections 5, 8, 10–13, and 15–17 survive termination.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on the Site with a revised "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws principles. Any dispute shall be resolved exclusively in the courts located in New York, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Miscellaneous

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
